Terms of Services

These Terms and Conditions ("Terms") govern your access to and use of the services offered by VRO LLC (“VRO,” “we,” “our,” or “us”) via the VRO.net platform. By accessing or using our site and services, you agree to these Terms and to our Privacy Policy.

These Terms apply to government entities, authorized agencies, and qualified business partners only. VRO.net is not intended for use by individual consumers.

1. Overview of Services

VRO provides secure, cloud-based and API-integrated solutions designed for government and institutional clients. The core services covered under these Terms include:

1.1 Identity Verification (KYC)

We offer Know Your Customer (KYC) identity verification solutions to support secure applicant validation and eligibility checks for government agencies and authorized partners.

Our KYC services may include:

  • Document verification (e.g., driver’s license, passport)

  • Biometric authentication (e.g., facial recognition, liveness detection)

  • Third-party integration with trusted KYC providers

  • Audit trails and reporting for compliance purposes

KYC checks are performed solely for the purpose of identity validation and are governed by strict data access and retention protocols.

1.2 Online Notary Services

VRO enables online notarization through vetted, state-authorized Remote Online Notary (RON) providers. This service is offered only in jurisdictions that legally support remote notarization.

Clients using this feature acknowledge that:

  • Online notarizations are facilitated by independent third-party notaries.

  • VRO is not a notary entity and does not certify the content of notarized documents.

  • All notarial actions are governed by state laws and provider policies.

  • Recordings and metadata associated with notarizations may be retained to meet regulatory requirements.

1.3 Vital Records Software Implementation

VRO partners with government agencies to implement modern, scalable software solutions for vital records issuance, application intake, and case management.

This includes:

  • Deployment of white-labeled or co-branded web portals

  • Custom API integrations

  • Workflow automation and document validation tools

  • Role-based access controls for agency staff

  • Ongoing maintenance, support, and updates as per contractual agreement

Each implementation is governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW), which supersedes conflicting terms herein.

2. Eligibility and Account Registration

Access to VRO services requires prior approval. Organizations must undergo a qualification and onboarding process. You agree to:

  • Provide accurate organizational and contact information.

  • Maintain secure access credentials.

  • Notify us of any changes that may affect your eligibility or scope of use.

We reserve the right to deny, suspend, or terminate access at our sole discretion for security, compliance, or misuse concerns.

3. Data Privacy and Security

VRO employs industry-standard encryption, secure infrastructure, and access controls to protect sensitive data.

By using our services, you acknowledge and agree that:

  • Data may be collected, processed, and stored solely for the purpose of service fulfillment, identity verification, or compliance reporting.

  • Personal Identifiable Information (PII) submitted for KYC and notary purposes will be handled in accordance with our [Privacy Policy].

  • Data may be shared only with trusted third-party providers who support the fulfillment of VRO services and are bound by confidentiality agreements.

We do not sell, rent, or monetize user data in any form.

4. Acceptable Use

You agree not to:

  • Use the services for unlawful, fraudulent, or unauthorized purposes.

  • Interfere with the platform’s operation or attempt unauthorized access.

  • Circumvent security protocols or misuse API credentials.

  • Submit false, misleading, or altered documents.

Violation of these terms may result in immediate termination and potential legal consequences.

5. Intellectual Property

All content, software, infrastructure, trademarks, and tools provided by VRO are the exclusive property of VRO LLC or its licensors. No license or rights are granted except as expressly permitted in writing.

6. Warranties and Disclaimers
  • VRO makes no guarantees regarding the accuracy or timeliness of third-party notarization or verification results.

  • KYC and notary services are dependent on third-party vendors and jurisdictional laws.

  • Software implementation timelines and outcomes are subject to the scope defined in individual MSAs or SOWs.

All services are provided “as is” unless otherwise stated in a separate contractual agreement.

7. Limitation of Liability

To the fullest extent permitted by law:

  • VRO shall not be liable for indirect, incidental, special, or consequential damages.

  • Liability is limited to the total amount paid under the applicable agreement in the six (6) months preceding the incident giving rise to the claim.
     

8. Dispute Resolution

Disputes arising from these Terms shall be resolved as follows:

  • Parties will first attempt to resolve matters through good-faith negotiations.

  • If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in the State of Delaware.

  • Class action waivers apply.
     

9. Governing Law

These Terms shall be governed by the laws of the State of Delaware without regard to conflict of law principles.
 

10. Updates to These Terms

We may revise these Terms from time to time. Updates will be posted to this page with a revised effective date. Continued use after such changes constitutes acceptance.
